Terms of Use – Signum Verify

Signum Verify provides software and related content designed to support AML/CTF compliance workflows, customer due diligence, risk assessment, record keeping, and related administrative functions.
Unless expressly stated otherwise, access to the platform is provided as a subscription-based software service and not as a transfer of ownership in the software.

Signum Verify is a software tool and information resource. It does not provide legal advice, regulatory advice, or a guarantee that a customer will meet all legal obligations.
Customers remain responsible for assessing their own compliance obligations and obtaining independent legal or professional advice where required.

You may need to create an account to use some or all of the service.
You are responsible for keeping login credentials secure and for all activities carried out under your account unless caused by our own misconduct or breach.
You must notify us promptly if you become aware of unauthorised access or a security incident affecting your account.

As between the parties, customers retain ownership of the data they upload or enter into the platform.
You grant us the rights reasonably necessary to host, process, back up, transmit, and otherwise use customer data for the purpose of operating, securing, supporting, and improving the service.
You are responsible for ensuring that you have all rights, notices, and permissions required to collect and use any personal information or other data you upload to the platform.

Our handling of personal information is described in our Privacy Policy.
We take reasonable steps to protect the service and customer data, but no online system can be guaranteed to be completely secure.

Paid features may be offered on a subscription basis.
You agree to pay applicable fees, charges, taxes, and renewal amounts in accordance with the pricing and plan selected at the time of purchase.
Unless stated otherwise, subscriptions may renew automatically until cancelled in accordance with the applicable plan terms.

We and our licensors own all rights, title, and interest in the Signum Verify website, platform, branding, software, documentation, and related intellectual property, excluding customer data.
These terms give you a limited, non-exclusive, non-transferable, revocable right to access and use the service during the subscription term in accordance with these terms.

We may update, modify, suspend, or discontinue parts of the service from time to time, including features, functionality, or content.
We will use reasonable efforts to provide notice of material changes where practical.

The platform may integrate with or rely on third-party services, providers, or data sources.
We are not responsible for third-party services outside our control, including their availability, security, accuracy, or performance.

To the maximum extent permitted by law, the service is provided on an as is and as available basis.
We do not warrant that the service will be uninterrupted, error-free, or suitable for every customer’s legal or operational requirements.
Nothing in these terms excludes any rights or guarantees that cannot lawfully be excluded under the Australian Consumer Law. Where such guarantees apply, our liability is limited to the extent permitted by law.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or loss of profit, revenue, goodwill, opportunity, or data arising from or connected with use of the service.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the service or these terms is limited to the fees paid by the customer to us in the 12 months before the event giving rise to the claim, or if no fees were paid, a reasonable nominal amount.

We may suspend or terminate access if you materially breach these terms, fail to pay fees, create security risk, or use the service unlawfully, subject to any required notice or cure period.
You may stop using the service at any time, and paid subscriptions may be cancelled in accordance with the applicable plan terms.
Upon termination, rights granted under these terms end, but clauses that are intended to survive termination will continue.

These terms are governed by the laws of New South Wales, Australia, unless otherwise stated in a written agreement between the parties.
The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

We may update these Terms of Use from time to time. The updated version will be published on the website with a revised effective date.
Continued use of the service after an update takes effect constitutes acceptance of the revised terms, to the extent permitted by law.
